Colavita S.p.A., always attentive to upholding the principles of fairness, transparency, and legality that must guide corporate activity, has decided to implement a new system of controls by adopting an Organization, Management, and Control Model in accordance with Legislative Decree 231/2001.
Under Articles 6 and 7 of the Decree, the effectiveness of the control system adopted by the company, for the purpose of exemption from administrative liability, requires the establishment of a body called the Supervisory Board (Organismo di Vigilanza, O.d.V.), endowed with autonomous initiative and control powers. Its role is to oversee the functioning and compliance of the 231 Model and to ensure its ongoing updates.
Colavita S.p.A. has therefore established an independent Supervisory Board, which exercises the verification and control functions and powers provided for by the Decree and detailed in the Company’s Management Model.
The O.d.V. is composed of a lawyer with extensive experience in corporate administrative liability, a chartered accountant who is a member of the company’s Board of Statutory Auditors, and an employee serving as an internal point of contact.
